TROVE — TERMS OF SERVICE

Last updated: August 13, 2026

1. Introduction and Acceptance

These Terms of Service (these "Terms" or this "Agreement") form a legally binding agreement between you ("you," "your," or "User") and Trove1.io ("Trove," "we," "our," or "us"), and govern your access to and use of the website located at www.trove1.io (the "Site"), our mobile application (the "App" and, together with the Site, the "Platform"), and all products, features, and services we make available (collectively, the "Services").

PLEASE READ THESE TERMS CAREFULLY. They contain important provisions that affect your legal rights, including:

  • Section 4 (Nature of the Purchase) and Section 6 (Final Sale; No Refunds).
  • Section 5 (Odds, Randomness, and Entertainment Displays).
  • Section 19 (Disclaimers) and Section 20 (Limitation of Liability).
  • Section 22 (Dispute Resolution; Arbitration; Class‑Action Waiver).

WHEN YOU FIRST SIGN UP — BY CLICKING "I AGREE," CREATING AN ACCOUNT, OR OTHERWISE FIRST ACCESSING THE SERVICES, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THIS AGREEMENT. If you do not agree, do not access or use the Services.

2. Amendments

We may modify this Agreement at any time. If we make changes, we will post the revised Agreement on the Platform and update the "Last updated" date, and, where we consider the change material, we will provide additional notice (such as by email or an in‑Platform notice). Changes are effective when posted unless stated otherwise. Your continued use of the Services after changes become effective constitutes your acceptance. If you do not agree to the changes, your sole remedy is to stop using the Services and, subject to Sections 12–13, withdraw any eligible balance and request shipment of any owned items. Changes to Section 22 (Arbitration) are subject to the separate notice and rejection right described in that Section.

3. Eligibility, Accounts, and Verification

3.1 Eligibility

To use the Services, you must be at least eighteen (18) years old (or the age of majority in your jurisdiction, if higher), be able to form a binding contract with us, and not be barred from using the Services under any applicable law. By using the Services you represent and warrant that you meet these requirements and that all payment methods you use are issued to you and lawfully yours.

3.2 Eligible Locations

The Services are offered only in the jurisdictions we designate as "Eligible Locations." You may only purchase Boxes, hold a balance, sell items back to us, or withdraw funds while located in an Eligible Location. We may add or remove Eligible Locations at any time, including to reflect changes in law or our licensing position. Using the Services from a non‑Eligible Location, or using a VPN or other tool to disguise your location, is prohibited and is grounds for suspension, termination, and forfeiture as described in Section 17. If your location ceases to be an Eligible Location, you will be given a reasonable opportunity to withdraw your eligible balance and request shipment of items you own.

3.3 Sanctions and Compliance

You represent and warrant that you are not, and are not acting on behalf of any person that is: (a) located in, or a citizen or resident of, any country or region subject to comprehensive U.S. sanctions or embargo; or (b) listed on any U.S. government restricted‑party list, including the U.S. Treasury Department Office of Foreign Assets Control ("OFAC") Specially Designated Nationals and Blocked Persons List, or the U.S. Commerce Department's Denied Persons, Unverified, or Entity Lists. We maintain anti‑money‑laundering and sanctions controls and may take any action required to comply with them.

3.4 Account Registration and Security

You must register an account (an "Account") to use most Services. You agree to provide true, accurate, and complete information and to keep it current. You may hold only one (1) Account, for your own personal use and not on behalf of any third party. You are responsible for maintaining the confidentiality of your credentials and for all activity that occurs under your Account. Notify us immediately at admin@trove1.io of any unauthorized use or suspected breach. You have no ownership interest in your Account itself, which remains our property.

3.5 Identity Verification (KYC)

We may verify your identity, age, and location at any time, including before permitting sell‑backs, withdrawals, or shipment, and may require you to provide a government‑issued ID, a "liveness" selfie or video, and other information. We use one or more third‑party verification providers for this purpose, and your use of such verification is subject to their terms and our Privacy Policy. Some of this information may constitute "biometric" or "sensitive" data under applicable law; by proceeding you consent to its collection and processing for identity‑verification, fraud‑prevention, and compliance purposes as described in our Privacy Policy. If you do not complete verification, we may withhold sell‑backs, withdrawals, or shipments, and you agree you have no claim to any balance or item until verification is completed.

4. Nature of the Purchase — What a Trove Box Is

Trove offers digital "mystery box" products (each, a "Box"). Each Box is a digital reveal experience that, upon opening, yields one or more items — primarily physical wristwatches and related collectibles (each, an "Item"). For every Box, we disclose on the Platform, before you purchase: (a) the pool of Items that may be won; and (b) the probability of receiving Items or Item tiers, as further described in Section 5.

You acknowledge and agree that:

  1. When you purchase a Box, you are purchasing the Box product and reveal experience, which yields an Item as described. Every Box yields an Item of the kind disclosed — you always receive something for your purchase.
  2. Until an Item is revealed and you are in full possession of it (by delivery, or by credit of a sell‑back amount to your Account), you have no right, title, or ownership interest in any specific Item, including any high‑value "grail" Item.
  3. We may terminate, remove, re‑price, or modify any Box at any time, even before all Items in that Box (including any grail) have been distributed, subject to honoring completed purchases.
  4. The specific Item you receive is determined at or after the moment of purchase by the randomization process described in Section 5, and is not selected by you.

5. Odds, Randomness, and Entertainment Displays

5.1 Disclosed Odds. The probabilities associated with each Box are disclosed on the Platform and are accurate as of the time shown. Because Item availability changes as Boxes are opened, odds and Item pools may update in real time. Ranges we provide are accurate when displayed but the distribution within a Box is not necessarily uniform.

5.2 Randomization. The outcome of each Box is determined by a randomization mechanism intended to produce results consistent with the disclosed odds. The only inputs that affect your outcome are your selection of the Box and your confirmation of purchase.

5.3 Entertainment Displays Only. Animations, spinning carousels, "near‑miss" visuals, wheels, reels, countdowns, sounds, and similar interface elements shown before or during a reveal are provided for entertainment purposes only. They are cosmetic, do not reflect or influence the actual outcome, and have no effect on which Item you receive. The outcome is fixed by the randomization mechanism described above and is independent of any such display.

6. Final Sale; No Refunds

ALL BOX PURCHASES ARE FINAL. Except where a refund is required by applicable law, or expressly provided in these Terms (for example, an error by us under Section 6.2), we do not accept returns or issue refunds for any Box, and all sales are non‑reversible and non‑refundable once the purchase is confirmed.

6.1 Any funds you add to your Account are non‑refundable and may be used only within the Platform, except that eligible proceeds may be withdrawn as provided in Section 13.

6.2 Our Errors; Order Cancellation. We may decline or cancel any order, in whole or in part, at any time, including after acceptance — for example, due to pricing or inventory errors, suspected fraud, or verification failures. If we cancel an order you already paid for, we will credit or refund the amount paid for the cancelled portion, and we will have no further liability for the cancellation.

6.3 Chargebacks. If you initiate a chargeback or payment dispute in bad faith or in violation of these Terms, we may suspend your Account, reverse related credits, and pursue the amounts owed, in addition to our other remedies.

7. Buyback Offers and User Election

After you open a Box and complete the reveal, we may offer to purchase the revealed Item from you (a "Buyback Offer") at a price we determine (the "Buyback Price").

7.1 How the Buyback Price Is Determined. We determine the Buyback Price by estimating the Item's value — considering factors that may include recent and comparable sales, rarity, condition, brand, model, demand, authentication status, and general market dynamics — and the Buyback Price is equal to ninety percent (90%) of our estimated value of the Item. Our valuation is an estimate only, may differ from published market values, may change at any time, and is determined solely by us and is not subject to negotiation. You are responsible for deciding whether the Buyback Price is acceptable to you.

7.2 Your Election: Keep, Ship, or Sell Back. For each revealed Item you may choose to (a) keep the Item in your Account vault for as long as you like, (b) have the Item shipped to you under Section 12, or (c) sell the Item back to us at the Buyback Price. There is no deadline to make this choice — a Buyback Offer remains available for you to accept at any time while the Item is in your Account, unless we state otherwise for a specific Item or promotion, and we will not automatically ship or sell back an Item for reason of the passage of time. Once you accept a Buyback Offer, that election is final and irrevocable.

7.3 Optional Buyback Protection. We may offer an optional feature that guarantees a minimum Buyback Price for an additional fee disclosed at checkout (a "Buyback Premium"). If you opt in, we may place an authorization hold on your payment method covering the Box price plus the Buyback Premium; that hold converts to a final charge if you keep the Item, and is adjusted if you sell the Item back. All terms of any such feature are disclosed on the Platform at the time you opt in.

7.4 Settlement. Amounts from a sell‑back are credited to your Account balance and may be used on the Platform or, subject to Section 13, withdrawn.

8. Balances, Payments, Taxes, and Fees

8.1 Payments. You authorize us and our third‑party payment processor, Stripe, to charge your selected payment method for all amounts due. You must use only payment methods issued to you. We disclaim liability for issues attributable to payment processors, and your use of them is subject to their terms.

8.2 Account Balance. We may make available an Account balance or wallet for use within the Platform. Balances are not bank deposits, earn no interest, and (except for withdrawable proceeds under Section 13) may be used only to purchase Boxes and other offerings on the Platform. We may suspend, modify, or discontinue balance features at any time as permitted by law.

8.3 Taxes. Prices do not include sales, use, value‑added, or similar taxes, or shipping and handling, unless stated. You are solely responsible for determining and paying all taxes (other than taxes on our net income) arising from your transactions, including any applicable sales tax due upon shipment of an Item. You are responsible for reporting and paying any taxes on Items won or proceeds received, whether or not you withdraw funds.

8.4 Fees. We will make commercially reasonable efforts to disclose applicable fees (including buyback fees, shipping, insurance, and any expedited‑withdrawal fees) before you incur them. Fees may change prospectively.

8.5 Unclaimed Property. After any legally required dormancy period, we may escheat unclaimed balances to the appropriate authority and may charge a dormancy fee to the extent permitted by law.

9. Anti‑Manipulation; Tax and Value Integrity

You may not structure transactions to manipulate the apparent value of Items or to evade taxes, including by creating multiple Accounts or transferring Items between Accounts at artificial prices before requesting shipment. We may investigate suspected manipulation, reverse affected transactions, suspend or terminate Accounts, and report activity to the appropriate authorities.

10. Responsible Purchasing

We want the Platform to be used responsibly. You agree that you have reviewed our Responsible Purchasing Policy, which describes tools such as spending limits, cool‑off periods, and self‑exclusion, and that you will use the Platform responsibly and seek assistance if you are unable to do so.

10.1 Self‑Exclusion and Restrictions. You may request a self‑exclusion or purchasing restriction, and we may impose one at our discretion where we believe, in our judgment, that use of the Platform may be harmful to you. During any exclusion period, you will not be able to add funds or make purchases (as applicable), but you will retain the ability to withdraw eligible proceeds and to request shipment of Items you own, in each case subject to verification. We are not liable for activity you conduct, or promotional amounts you use, before an exclusion takes effect, and we have no obligation to monitor your activity.

11. Promotions, Rewards, and Bonus Credits

We may offer promotions, referral programs, rewards, points, or bonus credits ("Promotions"), subject to these Terms and any applicable Official Rules. Any stated rates or values are estimates and may fluctuate. Bonus or promotional credits are for on‑Platform use only, are non‑withdrawable and non‑transferable, and may be forfeited upon withdrawal of other funds, Account closure, or violation of these Terms. We may modify, suspend, or cancel any Promotion at any time; we will honor amounts already validly credited before cancellation, but no further amounts will accrue. Any sweepstakes or giveaway is void where prohibited, requires no purchase where the Official Rules so provide, and is governed by those Official Rules, which control in the event of a conflict with these Terms.

12. Shipping, Storage, Title, and Risk of Loss

12.1 Requesting Shipment. You may request shipment of an Item you own from your Account inventory, subject to passing verification (Section 3.5), paying any applicable sales tax and shipping/insurance fees, and being in good standing under these Terms. Shipping is available only to addresses within the Eligible Locations we designate.

12.2 Title and Completion of Sale. Except as otherwise stated, title to and the completed sale of an Item pass to you only when all shipment conditions are met and the properly addressed, packaged Item is tendered to the carrier. Until then, we may, as our sole remedy for any loss, mislabeling, damage, or unavailability of the Item (other than for a terminated or banned Account), credit your Account with the Item's then‑current estimated value.

12.3 Risk of Loss in Transit. Once an Item is tendered to the carrier, risk of loss passes to you, except as otherwise required by law. If an Item is lost, stolen, or damaged in transit, our maximum liability is the Item's estimated value at the time of shipment, and, where we handle carrier claims, you agree to cooperate and not to submit duplicate claims to carriers. You must report any shipping error or non‑delivery within 10 days of delivery (or expected delivery) or you are deemed to have accepted the shipment.

12.4 Storage. We may store Items you own on your behalf, and you may keep an Item in storage for as long as you like — we do not impose a storage time limit and will not automatically sell back or return a stored Item for reason of the passage of time. Storage remains subject to the rest of these Terms (including our right to suspend or terminate Accounts for cause under Section 17, and the dormant‑account provisions of applicable unclaimed‑property law). If we lose an Item held in storage, we will credit your Account its estimated value at the time of loss.

12.5 Condition; "As‑Is." Unless an Item is expressly described otherwise, physical Items are provided in the condition described on the Platform and, if shipped, are sold "as‑is" with respect to condition. We do not independently guarantee the authenticity or condition of any Item except to the extent expressly stated, though we use good‑faith efforts to source genuine goods.

13. Withdrawals

13.1 Verification. We may require you to complete identity verification (Section 3.5) before processing a withdrawal, and may withhold a withdrawal until any verification we request is completed. We are not obligated to request verification in every case.

13.2 Method, Limits, and Timing. Withdrawals are processed by Stripe (including Stripe Connect) to your linked bank account or eligible payment method. We may impose reasonable minimums, per‑period limits we disclose on the Platform, holds, or delays to prevent fraud or comply with law, and may require tax forms for withdrawals above applicable thresholds. All withdrawals are final; you bear sole responsibility for providing correct payout details.

14. Prohibited Conduct

You agree not to, and not to attempt to:

  1. Violate law — use the Services in violation of any applicable law, regulation, or sanctions program, or to facilitate any unlawful activity, including money laundering or terrorist financing;
  2. Defraud or manipulate — deceive us or other users; provide false information; commit payment fraud or bad‑faith chargebacks; exploit bugs, errors, or unintended behavior; or engage in collusion, wash transactions, or value manipulation;
  3. Circumvent controls — use VPNs, emulators, jailbroken/rooted devices, bots, scrapers, or other tools to bypass geographic, security, rate, or eligibility restrictions, or to access non‑public areas or source code;
  4. Abuse the Platform or others — harass, threaten, or harm other users or our personnel; impersonate any person or Trove; interfere with, overburden, or disrupt the Services or connected networks; or upload malicious code;
  5. Register improperly — open or operate more than one Account, use another person's payment method or identity, use non‑genuine phone numbers, or sell or transfer your Account;
  6. Infringe rights — violate any intellectual property, publicity, or privacy right, or transact in counterfeit or infringing goods;
  7. Misuse commercially — resell, reproduce, frame, mirror, reverse engineer, or exploit any part of the Services or Trove Materials, or use them to build a competing product, except as expressly permitted; or
  8. Disparage or damage — take actions intended to damage our reputation or the integrity of the Services.

15. Intellectual Property

15.1 Our IP. The Services and all associated content, software, text, graphics, images, designs, and the "look and feel," together with the "Trove" name and logos (collectively, "Trove Materials"), are owned by us or our licensors and protected by intellectual‑property laws. We grant you a limited, revocable, non‑exclusive, non‑transferable, non‑sublicensable license to access and use the Services for your own personal, non‑commercial use, subject to these Terms. All rights not expressly granted are reserved.

15.2 Feedback. Any feedback, ideas, or suggestions you provide are non‑confidential, and you assign to us all rights in such feedback, which we may use for any purpose without compensation or attribution.

15.3 Your Content. You retain ownership of content you submit, but grant us a worldwide, royalty‑free, sublicensable license to use, reproduce, modify, and display it as needed to operate, improve, and promote the Services, and to create aggregated or de‑identified data. You represent that you have the rights necessary to grant this license.

15.4 Copyright / DMCA. If you believe content on the Services infringes your copyright, send a notice with the elements required by the DMCA to admin@trove1.io. Material misrepresentations may result in liability.

16. Third‑Party Services

The Services rely on and may link to third‑party services (including payment processors, verification providers, carriers, and pricing data sources). We do not control and are not responsible for third‑party services, and your use of them is at your own risk and subject to their terms. Pricing data from third parties is provided for convenience only and is not guaranteed to be accurate.

17. Suspension, Termination, and Forfeiture

We may suspend, restrict, or terminate your Account or access to the Services at any time, with or without notice, including for suspected violation of these Terms, fraud, or legal/compliance reasons. Upon termination, your license to use the Services ends. We may cancel pending transactions and, where you have engaged in fraud, cheating, or a serious breach, forfeit or recoup amounts and Items to the extent reasonably necessary to reverse the benefit of the misconduct, comply with legal obligations, or compensate us or other users for losses caused by your breach. Where we are legally permitted, we will return remaining lawful funds and Items you own. Provisions that by their nature should survive termination will survive.

18. Company Insolvency — Return of Physical Items

In the event we cease operations, become insolvent, or enter bankruptcy, we have established procedures intended to return physical Items in our custody to the Users who own the corresponding entries in their Account inventory. Users must initiate the return process within three (3) months of such event and are responsible for shipping costs and any applicable taxes. We will provide notice and instructions where reasonably practicable. Except for facilitating the return of owned physical Items, no monetary reimbursement or compensation will be provided under this Section.

19. Disclaimers

THE SERVICES AND ALL ITEMS, CONTENT, AND MATERIALS ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON‑INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE, ERROR‑FREE, OR FREE OF HARMFUL COMPONENTS, OR THAT ANY VALUATION, DESCRIPTION, ODDS DISPLAY, OR OTHER INFORMATION IS COMPLETE OR ACCURATE. YOU ASSUME ALL RISK ARISING FROM YOUR USE OF THE SERVICES AND YOUR PURCHASE, OWNERSHIP, SHIPMENT, RESALE, OR USE OF ANY ITEM. SOME JURISDICTIONS DO NOT ALLOW CERTAIN DISCLAIMERS, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU; IN THAT CASE OUR WARRANTIES ARE LIMITED TO THE MINIMUM EXTENT REQUIRED BY LAW. NOTHING IN THESE TERMS EXCLUDES LIABILITY THAT CANNOT BE EXCLUDED BY LAW (INCLUDING FOR FRAUD OR FOR DEATH OR PERSONAL INJURY CAUSED BY NEGLIGENCE).

20. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL TROVE OR ITS AFFILIATES, OR ANY OF THEIR OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, SUPPLIERS, OR LICENSORS (THE "RELEASED PARTIES"), BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOST PROFITS, REVENUE, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATED TO THE SERVICES OR THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE RELEASED PARTIES' TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE TOTAL AMOUNTS YOU PAID TO TROVE IN THE SIX (6) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100). THESE LIMITATIONS APPLY REGARDLESS OF THE THEORY OF LIABILITY AND SURVIVE ANY FAILURE OF THE ESSENTIAL PURPOSE OF ANY REMEDY. SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.

21. Indemnification

You agree to indemnify, defend, and hold harmless the Released Parties from any claims, losses, liabilities, damages, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use or misuse of the Services or any Item; (b) your violation of these Terms; (c) your violation of any law or of any third party's rights; or (d) content you provide. We may assume the exclusive defense of any matter subject to indemnification, at your expense, in which case you will cooperate with us. This provision does not require you to indemnify the Released Parties for their own fraud or willful misconduct, and survives termination.

22. Dispute Resolution; Arbitration; Class‑Action Waiver

22.1 Informal Resolution First. Before initiating any arbitration, you and Trove agree to first attempt to resolve any dispute informally. To start, you must send a written notice describing the nature of your claim and the specific relief sought to admin@trove1.io (an "Informal Dispute Resolution Notice"); we will send any such notice to you at the email associated with your Account. The parties will use good‑faith efforts to resolve the dispute within sixty (60) days after the responding party receives the notice (the "Informal Resolution Period"). If the dispute is not resolved within that period, either party may commence arbitration. Any applicable statute of limitations and filing‑fee deadlines are tolled while the parties engage in this process.

22.2 Agreement to Arbitrate. You agree that any dispute, claim, or request for relief arising out of or relating in any way to your access to or use of the Services, to any products sold or distributed through the Services, or to any aspect of your relationship with Trove, will be resolved by binding arbitration, rather than in court, except that (i) you may assert claims or seek relief in small‑claims court if your claims qualify; (ii) you or Trove may seek equitable relief in court for infringement or misuse of intellectual‑property rights; and (iii) if you are a resident of the State of California, either party may seek public injunctive relief in court as set out in Section 22.6. This Arbitration Agreement applies, without limitation, to all disputes that arose or were asserted before the effective date of this Agreement or any prior version.

22.3 Arbitration Rules and Forum. The parties agree their relationship involves interstate commerce and that the Federal Arbitration Act governs the interpretation and enforcement of this Section. To begin, you must send a letter requesting arbitration and describing your dispute to admin@trove1.io. The arbitration will be administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules then in effect (and, where applicable, its Mass Arbitration Supplementary Rules). The AAA's rules are available at www.adr.org. If the AAA is not available to administer the arbitration, the parties will select an alternative established arbitral forum. If the arbitrator finds you cannot afford the AAA's fees and cannot obtain a waiver, Trove will pay them for you. The arbitration may be conducted by video, telephone, on written submissions, in person in the state where you live, or at another mutually agreed location. Any judgment on the award may be entered in any court of competent jurisdiction.

22.4 Authority of Arbitrator. The arbitrator has exclusive authority to (i) determine the scope and enforceability of this Arbitration Agreement and (ii) resolve any dispute over its interpretation, applicability, enforceability, or formation, including any claim that it is void or voidable. The arbitration will not be consolidated with any other matters or joined with any other cases or parties. The arbitrator may award any monetary or non‑monetary remedy available to an individual under applicable law and this Agreement, must issue a reasoned written award, and has the same authority to award relief on an individual basis that a court would. The award is final and binding.

22.5 Class‑Action and Jury‑Trial Waiver. ALL DISPUTES WITHIN THE SCOPE OF THIS ARBITRATION AGREEMENT MUST BE ARBITRATED ON AN INDIVIDUAL BASIS AND NOT ON A CLASS OR COLLECTIVE BASIS. ONLY INDIVIDUAL RELIEF IS AVAILABLE, AND CLAIMS OF MORE THAN ONE USER CANNOT BE ARBITRATED OR CONSOLIDATED WITH THOSE OF ANY OTHER USER. YOU AND TROVE EACH WAIVE THE RIGHT TO A JURY TRIAL. If a decision is issued that applicable law precludes enforcement of any of the limitations in this Section 22.5 as to a given claim, then that aspect must be severed and brought in the state or federal courts located in the State of Delaware; all other claims will be arbitrated.

22.6 Public Injunctive Relief (California residents). This Section 22.6 applies solely to users who reside in California. Notwithstanding anything to the contrary, such users and Trove each retain the right to seek public injunctive relief in any court of competent jurisdiction in accordance with applicable law. Any claim for public injunctive relief will proceed in court and be stayed pending the outcome of any individual claim(s) subject to arbitration.

22.7 Mass‑Arbitration Process. If twenty‑five (25) or more claims raising substantially similar factual or legal issues are asserted against Trove within a ninety (90)‑day period by the same or coordinated counsel, or are otherwise coordinated (including claims filed pursuant to a common strategy, shared funding, or joint representation), and your claim is one of them (a "Mass Arbitration"), you understand the resolution of your claim may be delayed, and the following process applies:

  • (a) Administration; Process Arbitrator. The Mass Arbitration will be administered by the AAA under its Mass Arbitration Supplementary Rules (or other rules for multiple/coordinated case filings then in effect), and the parties consent to the appointment of a Process Arbitrator to decide administrative and procedural matters (such as batching, liaison counsel, discovery coordination, and fee allocation). The Process Arbitrator will not rule on the merits of any individual claim.
  • (b) Batching. The claims will be resolved in sequential batches. An initial batch of twenty (20) claims (ten selected by claimants, ten by Trove) will proceed to individual arbitrations before separate arbitrators, each on an individual basis. Remaining claims will not be filed or deemed filed, and no fees will be assessed on them, until selected in a later batch.
  • (c) Global Mediation. If the remaining claims are not resolved after the initial batch, the parties will participate in a global mediation before a retired judge (Trove paying the mediator's fee) in a good‑faith effort to resolve them, to be completed within sixty (60) days of the batch's conclusion. If unresolved, a second batch of up to forty (40) claims proceeds, followed by another mediation, and the staged process continues (with no more than one hundred (100) claims proceeding at any time, selected by a documented neutral random process) until all coordinated claims are resolved.
  • (d) Outside Date. In no event will your claim remain pending under this staged process for more than five (5) years from the date it was first submitted; if it has not been selected to proceed within that period, you may withdraw it without prejudice or proceed in any forum available under applicable law.
  • (e) Tolling. All applicable statutes of limitations and filing‑fee deadlines are tolled for claims subject to this Section from the date the Mass Arbitration is triggered until your claim is selected to proceed, withdrawn, or otherwise resolved.
  • (f) Severability. If a court declines to enforce these Mass‑Arbitration requirements in whole or in part, the unenforceable provision(s) are severed and the remainder continues in effect; if the entirety is found unenforceable, the remaining claims will be administered under the standard AAA Consumer Arbitration Rules without batching, each claimant proceeding individually.

22.8 30‑Day Right to Opt Out. You may opt out of this Arbitration Agreement by sending written notice to admin@trove1.io within thirty (30) days after first becoming subject to it. Your notice must include your name and address, the email associated with your Account, your username (if any), and a clear, unequivocal statement that you want to opt out of this Arbitration Agreement. Opting out has no effect on any other part of these Terms and no effect on any other arbitration agreement you may have with Trove.

22.9 Severability; Survival. Except as provided in Sections 22.5 and 22.7, if any part of this Arbitration Agreement is found invalid or unenforceable, that part is severed or modified and the remainder continues in full force. This Arbitration Agreement survives termination of your relationship with Trove.

22.10 Modification. Notwithstanding anything to the contrary, if we make any future material change to this Section 22, you may reject that change within thirty (30) days of it becoming effective by writing to admin@trove1.io and expressly opting out of the modified Arbitration Agreement, in which case you will be bound by the prior version.

22.11 Time to File. Any claim must be filed within one (1) year after it accrues, or the shortest period allowed by applicable law if longer, or it is permanently barred.

23. Governing Law and Venue

These Terms are governed by the laws of the State of Delaware, without regard to conflict‑of‑laws principles, except that the Federal Arbitration Act governs Section 22. Any dispute not subject to arbitration and not eligible for small‑claims court will be brought exclusively in the state or federal courts located in the State of Delaware, and you consent to the personal jurisdiction and venue of those courts. Nothing in this Section limits any non‑waivable statutory rights you may have in your place of residence.

24. Electronic Communications and Notices

You consent to receive all agreements, notices, disclosures, and other communications from us electronically — by email, in‑Platform notice, or other electronic means — and agree that electronic communications satisfy any legal requirement that they be in writing. Marketing communications are subject to separate consent as described in our Privacy Policy, and you may opt out of them at any time.

25. Privacy

Our Privacy Policy (available at www.trove1.io/privacy) describes how we collect, use, and share your information, including identity‑verification and payment data. By using the Services, you agree to our data practices as described there.

26. General

26.1 Assignment. You may not assign or transfer these Terms without our prior written consent; we may assign them freely, including to an affiliate or successor. 26.2 Severability. If any provision is held unenforceable, it will be modified to the minimum extent necessary or severed, and the remainder will stay in effect. 26.3 No Waiver. Our failure to enforce any provision is not a waiver. 26.4 Force Majeure. We are not liable for delays or failures caused by events beyond our reasonable control (including acts of God, pandemics, war, civil unrest, labor disputes, and failures of telecommunications, payment, or shipping infrastructure). 26.5 No Third‑Party Beneficiaries. Except for the Released Parties, these Terms confer no third‑party rights. 26.6 Headings; Interpretation. Headings are for convenience only; "including" means "including without limitation." 26.7 Entire Agreement. These Terms, together with any Official Rules, the Privacy Policy, and the Responsible Purchasing Policy, are the entire agreement between you and Trove regarding the Services and supersede prior agreements. 26.8 English Language. These Terms are drafted in English, which controls over any translation.
